Introduction
These Terms of Service ("Terms") govern your use of Murmur, a macOS application for audio and video transcription ("Software"), provided by Nextaim GmbH ("we", "us", or "our").
By purchasing, downloading, or using Murmur, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Software.
Merchant of Record
Our order process is conducted by our online reseller Lemon Squeezy ("Lemon Squeezy"). Lemon Squeezy is the Merchant of Record for all our orders. Lemon Squeezy provides all customer service inquiries and handles returns.
When you purchase Murmur, you are purchasing from Lemon Squeezy, not directly from Nextaim GmbH. Lemon Squeezy handles:
- Payment processing and billing
- VAT/sales tax calculation and collection
- Invoice generation
- Refund processing
- Customer billing inquiries
By completing a purchase, you also agree to Lemon Squeezy's Terms of Service and Privacy Policy.
License Grant
Upon purchase, we grant you a limited, non-exclusive, non-transferable license to use Murmur on the number of devices specified at the time of purchase.
Per-Device License
Each license permits installation and use on up to three (3) Macs that you own. If you wish to use Murmur on additional devices, you must purchase additional licenses.
Permitted Use
You may use Murmur for both personal and commercial purposes, including:
- Transcribing meetings, interviews, and lectures
- Creating summaries for business or personal use
- Processing audio and video content you have rights to
Restrictions
You may not: (a) copy, modify, or distribute the Software; (b) reverse engineer, decompile, or disassemble the Software; (c) rent, lease, or lend the Software to third parties; or (d) remove any proprietary notices or labels on the Software.
Purchase & Payment
Murmur is available as a one-time purchase. Your license is perpetual for the major version purchased.
Pricing
All prices are displayed inclusive of applicable VAT/taxes where required. Lemon Squeezy calculates and collects the appropriate taxes based on your location.
Major Version Upgrades
Major version upgrades (e.g., from version 1.x to version 2.0) may require a separate paid upgrade. Existing customers may be offered discounted upgrade pricing. You are not obligated to upgrade and may continue using your purchased version indefinitely.
Refund Policy
We offer a 30-day money-back guarantee on all purchases. If you are not satisfied with Murmur for any reason, you may request a full refund within 30 days of your purchase date—no questions asked.
How to Request a Refund
To request a refund:
- Contact Lemon Squeezy directly through the link in your purchase receipt
- Or email us at hello@trymurmur.app with your order number
Refunds are processed by Lemon Squeezy and typically completed within 5-10 business days, depending on your payment method and financial institution.
After a Refund
Upon refund, your license is revoked and you must uninstall the Software from all devices. We reserve the right to disable your license key after a refund is processed.
Updates & Support
Minor Updates
All minor updates within your purchased major version (e.g., 1.1, 1.2, 1.3) are included at no additional cost. These updates include bug fixes, performance improvements, and minor feature enhancements.
Support
We provide email support for technical issues at hello@trymurmur.app. While we strive to respond promptly, support is provided on a reasonable-efforts basis and is not guaranteed.
Intellectual Property
Murmur and all associated intellectual property rights are owned by Nextaim GmbH. The Software is protected by copyright laws and international treaties.
Your purchase grants you a license to use the Software; it does not transfer ownership of the Software or any intellectual property rights to you.
System Requirements
Murmur requires macOS 14 (Sonoma) or later and a Mac with Apple Silicon (M1 or newer). The Software will not function on Intel-based Macs. It is your responsibility to verify compatibility before purchase.
Disclaimer of Warranties
The Software is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
We do not warrant that the Software will be uninterrupted, error-free, or free of harmful components. Transcription and summarization results depend on audio quality and content, and we do not guarantee accuracy of outputs.
AI-Generated Content
Murmur uses on-device AI models for transcription and summarization. AI-generated outputs may contain errors, omissions, or inaccuracies. You are solely responsible for reviewing and verifying all outputs before use. Do not rely on AI-generated content for legal, medical, financial, or other critical decisions without independent verification.
Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Nextaim GmbH be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or in connection with your use of the Software.
Our total liability for any claims arising from these Terms or your use of the Software shall not exceed the amount you paid for the Software license.
Termination
Your license remains valid unless terminated. We may terminate your license if you breach these Terms. Upon termination:
- Your right to use the Software ends immediately
- You must uninstall and destroy all copies of the Software
- Sections regarding intellectual property, disclaimers, and liability limitations survive termination
You may terminate your license at any time by uninstalling the Software. No refund will be provided for voluntary termination after the 30-day refund period.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Germany, without regard to conflict of law principles. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Munich, Germany.
Changes to These Terms
We may update these Terms from time to time. We will notify you of any material changes by posting the updated Terms on our website with a new "Last updated" date. Your continued use of the Software after such changes constitutes acceptance of the updated Terms.
